Terms of Service

01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Dxora ("Company", "we", "us", or "our"), the operator of ChargeXFinder.

By downloading, installing, accessing, or using the ChargeXFinder mobile application (iOS / Android), website at chargexfinder.dxora.com, or any related services (collectively, the "Platform"), you agree to be bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, and Return Policy.

02 Definitions

• "Platform" — The ChargeXFinder mobile application, website, APIs, and all associated services.
• "Driver" — A registered user who searches for, books, and uses EV charging stations through the Platform.
• "Host" — A registered user who lists their private or commercial EV charging station on the Platform for others to book and use.
• "Station" — A physical EV charging point listed on the Platform, whether owned by a Host or a commercial charging network partner.
• "Credits" or "CR" — The in-app virtual currency used for booking slots, paying for charging sessions, and receiving host earnings within the ChargeXFinder wallet.
• "Booking" — A reservation of a specific time slot at a Station, confirmed by deducting Credits from the Driver's wallet.
• "Session" — The actual use of a charging Station by a Driver, from plug-in to plug-out.

03 Eligibility

To use ChargeXFinder, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal capacity to enter into binding agreements.
• Provide accurate, current, and complete registration information.
• Own or have authorised access to an electric vehicle (for Drivers) or a functional EV charging station (for Hosts).
• Comply with all applicable local, state, and national laws and regulations.

04 Account Registration

• You must create an account using a valid email address or phone number, or sign in via Google or Apple.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must immediately notify us at support@dxora.com if you suspect unauthorised access to your account.
• You may not create multiple accounts, impersonate another person, or use false information during registration.
• We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

05 Services Provided

ChargeXFinder provides the following services through the Platform:

• Station Discovery: Real-time map of available EV charging stations with filters for connector type, charging speed, price, and distance.
• Slot Booking: Advance reservation of charging time windows (typically 15-minute slots) at participating stations.
• Navigation: Turn-by-turn routing to booked or selected charging stations.
• In-App Wallet: A digital wallet system for managing credits, processing payments, and tracking transaction history.
• Host-a-Station: A marketplace for EV charger owners to list their stations, manage availability, set pricing, and earn revenue.
• AI-Powered Recommendations: Smart suggestions for optimal chargers based on your vehicle, route, habits, and predicted wait times.
• Trip Planning: Route planning with integrated charging stops based on your vehicle's range and battery level.

06 User Obligations — Drivers

As a Driver, you agree to:

• Provide accurate vehicle information (make, model, connector type, battery capacity).
• Arrive on time for booked slots. Failure to arrive constitutes a no-show and credits may be forfeited per our Refund & Cancellation Policy.
• Vacate the charging bay promptly upon completion of your session to avoid blocking other users.
• Use only compatible connectors and charging speeds for your vehicle.
• Treat charging equipment, cables, and the station premises with care. You are liable for any damage caused by misuse or negligence.
• Leave honest and accurate reviews and ratings for stations you use.
• Not engage in any behaviour that disrupts other users' experience or abuses the booking system (e.g., reserving slots with no intention to charge).

07 User Obligations — Hosts

As a Host, you agree to:

• Provide accurate and complete information about your charging station, including location, charger specifications, available connector types, pricing, and photographs.
• Ensure your listed charging equipment is in safe, functional, and maintained condition.
• Comply with all applicable electrical safety standards, local regulations, and building codes.
• Honour confirmed bookings. Repeated cancellations may result in penalties, reduced visibility, or account suspension.
• Keep your availability schedule up to date. Mark your station as offline during maintenance or personal use.
• Set fair and transparent pricing. Any changes to your per-kWh rate take effect for new bookings only — you may not retroactively change rates for confirmed bookings.
• Provide a safe and accessible environment for Drivers visiting your station.
• Not discriminate against Drivers based on vehicle type, brand, or any protected characteristic.
• Maintain appropriate insurance coverage for your charging equipment and premises, if applicable.

08 Wallet, Credits & Payments

8.1 Wallet System

• ChargeXFinder uses an in-app wallet with Credits (CR) as the primary transaction currency.
• Credits can be purchased via UPI, net banking, debit card, or credit card through our PCI DSS-compliant payment partners.
• Credits are non-transferable between accounts.
• Promotional and bonus credits are subject to expiry terms communicated at the time of issuance.

8.2 Pricing Transparency

• All pricing (per-kWh rates, booking fees) is displayed transparently before you confirm a booking or session.
• ChargeXFinder does not charge any subscription fees or hidden charges to Drivers.
• Hosts set their own per-kWh rates; ChargeXFinder may charge a platform service fee (clearly disclosed) on host earnings.

8.3 Refunds

All refunds are governed by our Refund & Cancellation Policy. Please refer to that document for detailed refund timelines, eligibility criteria, and processes.

09 Booking & Cancellation

• A booking is confirmed once the required Credits are deducted from your wallet.
• Each booking reserves a specific time window at a specific station. You must arrive within the booked window.
• Cancellation terms (including refund percentages) are detailed in our Refund & Cancellation Policy.
• ChargeXFinder reserves the right to cancel bookings in case of technical issues, safety concerns, or violation of these Terms, with a full credit refund to the Driver.
• Repeated no-shows or abusive booking patterns may result in temporary or permanent restrictions on your booking privileges.

10 Intellectual Property

• The ChargeXFinder name, logo, brand identity, app design, source code, algorithms, UI/UX elements, content, and all related intellectual property are owned by Dxora and protected under applicable Indian and international intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for personal, non-commercial purposes (or commercial purposes as a Host, strictly within the Platform).
• You may not copy, modify, distribute, sell, reverse-engineer, decompile, or create derivative works from any part of the Platform without our prior written consent.
• User-generated content (reviews, ratings, photographs) submitted to the Platform grants Dxora a worldwide, royalty-free, non-exclusive licence to use, display, and distribute such content within the Platform.

11 Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful, fraudulent, or malicious purpose.
• Misrepresent your identity, vehicle details, or station information.
• Attempt to gain unauthorised access to other users' accounts, our servers, or internal systems.
• Interfere with or disrupt the Platform's infrastructure, security, or performance.
• Use bots, scrapers, or automated tools to access the Platform without authorisation.
• Manipulate reviews, ratings, or search rankings through fake accounts or coordinated actions.
• Engage in price manipulation, booking hoarding, or slot squatting.
• Harass, threaten, or abuse other users (Drivers, Hosts, or support staff).
• Post or transmit malware, spam, or any harmful content.
• Circumvent or attempt to circumvent any security, access control, or payment features.
• Use the Platform to facilitate any activity that violates applicable laws or third-party rights.

12 Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Guarantees of uninterrupted, error-free, or secure operation of the Platform.
• Accuracy, reliability, or completeness of station information, availability data, pricing, or charging speed estimates.
• The quality, safety, or legality of charging services provided by third-party or Host-operated stations.

We make reasonable efforts to ensure data accuracy and platform reliability but cannot guarantee perfection in real-time systems dependent on third-party hardware and networks.

13 Limitation of Liability

To the maximum extent permitted by applicable law:

• Dxora, its directors, employees, affiliates, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Platform.
• Our total aggregate liability for any claims arising from your use of the Platform shall not exceed the amount you have paid to ChargeXFinder in the 12 months preceding the event giving rise to the claim.
• We are not liable for:
  • Damage to your vehicle, property, or person at any charging station.
  • Electrical faults, power surges, or equipment failures at Host or third-party stations.
  • Losses due to inaccurate station information provided by Hosts or network partners.
  • Service interruptions caused by factors beyond our reasonable control (force majeure).
  • Unauthorized access to your account due to your failure to safeguard credentials.

14 Indemnification

You agree to indemnify, defend, and hold harmless Dxora, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Platform or violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any content you submit, post, or transmit through the Platform.
• Any damage caused by you to charging equipment, station premises, or other users.
• Disputes between you and other users (Driver-Host disputes) that are not attributable to a Platform malfunction.

15 Termination

15.1 By You

You may terminate your account at any time by contacting us at support@dxora.com or through the app (Profile → Settings → Delete Account). Upon termination:

• Your access to the Platform will be revoked.
• Remaining purchased credits will be refunded per our Refund & Cancellation Policy.
• Pending host earnings will be settled within 30 business days.
• Promotional credits will be forfeited.

15.2 By Us

We reserve the right to suspend or terminate your account, without prior notice, if:

• You violate these Terms or any applicable policy.
• Your conduct poses a risk to other users, our platform, or our reputation.
• Your account is involved in fraudulent, illegal, or abusive activity.
• You fail to pay outstanding dues or charges.
• Required by law or regulatory authority.

16 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

16.1 Informal Resolution

Before initiating any formal proceedings, you agree to first attempt to resolve disputes informally by contacting us at support@dxora.com. We will make reasonable efforts to resolve the matter within 30 days.

16.2 Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, and proceedings shall take place in India.

16.3 Jurisdiction

Subject to the arbitration clause above, the courts of India shall have exclusive jurisdiction over any legal proceedings related to these Terms.

17 Modifications

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Effective Date" at the top of this page.
• We will notify users via in-app notification and/or email at least 15 days before material changes take effect.
• Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
• If you disagree with the changes, you may terminate your account before the new terms take effect.
